世界道教联合会章程

 

第一章 总 则

  第一条 本会的名称为世界道教联合会,英文名称为World Federation of Daoism,缩写为WFD。

  第二条 本会是由各国(地区)道教团体、道教宫观、道教相关机构及信仰道教或热爱道教文化的知名人士自愿结成的国际性、专业性、非营利性社会组织。

  第三条 本会的宗旨:继承发扬道教优秀传统文化,加强世界道教徒团结合作,推动道教时代化、国际化,促进人类文明交流互鉴、世界和平发展。

  本会遵守登记地国宪法、法律、法规和国家政策,遵守社会道德风尚,自觉加强诚信自律建设。

  第四条 本会接受业务主管单位国家宗教事务局、登记管理机关民政部的业务指导和监督管理。

  第五条 本会的住所设在中国北京。

第二章 业务范围

  第六条 本会的业务范围包括:

  (一)倡导会员遵守道门传统与规制,推动世界道教徒加强信仰建设、教制建设和道风建设;

  (二)举办国际道教交流活动,增进世界道教徒的团结和友谊,推动道教的国际化传播;

(四)接受境外道教教职人员身份认定申请,组织协调境外道教教职人员参加传戒、授箓等重大教务活动;

(五)编辑、发布本会活动通报,编辑、出版和道教相关的书籍、期刊与资料,运营本会网络媒体平台;

(六)践行道教教义思想,开展与道教教义相符的社会公益活动;

(七)推动与其他宗教、文明的交流互鉴;

  (八)开展会员所在地法律允许范围内的其他道教活动。

第三章 会 员

  第七条 本会的会员种类为单位会员和个人会员。

  第八条 申请加入本会的会员,必须具备下列条件:

  (一)有加入本会的意愿;

  (二)拥护本会的章程;

  (三)在道教界有一定影响力。

  第九条 会员入会的程序是:

  (一)提交入会申请书;

  (二)经理事会讨论通过;

  (三)由理事会或理事会授权机构发给会员证。

    第十条 会员享有下列权利:

  (一)本会的选举权、被选举权和表决权;

  (二)参加本会的活动或经本会授权代表本会参加活动;

  (三)获得本会服务的优先权;

  (四)对本会工作的批评建议权和监督权;

(五)入会自愿、退会自由。

第十一条 会员履行下列义务:

  (一)遵守本会的章程,执行本会的决议;

  (二)维护本会合法权益;

  (三)完成本会交办的工作;

  (四)按规定交纳会费;

  (五)向本会反映情况,提供有关资料。

  第十二条 会员退会应书面通知本会,并交回会员证。会员如果无特殊情况超过2年不交纳会费或不参加本会活动的,视为自动退会。

  第十三条 会员如有严重违反本章程的行为,经理事会表决通过,予以除名。

第四章 组织机构和负责人产生、罢免

  第十四条 本会的最高权力机构是会员大会,会员大会的职权是:

  (一)制定和修改章程;

  (二)选举和罢免理事;

    (三)审议理事会的工作报告和财务报告;

    (四)制定和修改会费标准;

  (五)决定终止事宜;

  (六)决定其他重大事宜。

  第十五条 会员大会须有2/3以上的会员出席方能召开,其决议须经到会会员半数以上表决通过方能生效。

    第十六条 会员大会每3年召开一次。

  第十七条 理事会是会员大会的执行机构,每届3年,在会员大会闭会期间领导本会开展日常工作,对会员大会负责。

  第十八条 理事会的职权是:

  (一)执行会员大会的决议;

(二)选举和罢免理事长、副理事长、秘书长;

(三)筹备召开会员大会;

  (四)向会员大会报告工作和财务状况;

  (五)决定会员的吸收和除名;

  (六)决定办事机构、分支机构、代表机构和实体机构的设立、变更和注销;

  (七)决定副秘书长、各机构主要负责人的聘任;

  (八)领导本会各机构开展工作;

  (九)制定内部管理制度;

(十)决定其他重大事项。

  第十九条 理事会须有2/3以上的理事出席方能召开,其决议须经到会理事2/3以上表决通过方能生效。

  第二十条 理事会每年至少召开一次会议。情况特殊的,可采用通讯形式召开。

  第二十一条 本会的理事长、副理事长、秘书长必须具备下列条件:

  (一)在道教界有较大影响力;

  (二)理事长、副理事长、秘书长最高任职年龄不得超过70周岁,秘书长为专职;

  (三)身体健康,能坚持正常工作;

  (四)未受过刑事处罚;

  (五)具有完全民事行为能力。

  第二十二条 本会理事长、副理事长、秘书长如超过最高任职年龄的,须经理事会表决通过,报业务主管单位审查并经登记管理机关批准后,方可任职。

  第二十三条 本会理事长、副理事长、秘书长每届任期3年,连任不得超过两届。因特殊情况需延长任期的,须经会员大会2/3以上的会员表决通过,报业务主管单位审查并经登记管理机关批准后,方可任职。

    第二十四条  理事长为本会法定代表人。

因特殊情况,由理事长委托且经理事会同意,报业务主管单位审查并经登记管理机关批准后,可以由副理事长或秘书长担任法定代表人。

    法定代表人代表本会签署有关重要文件。

    本会法定代表人不得同时兼任其他团体的法定代表人。

  第二十五条 本会理事长行使下列职权:

  (一)召集和主持理事会;

(二)检查会员大会、理事会决议的落实情况。

  第二十六条 本会秘书长行使下列职权:

  (一)主持本会开展日常工作,组织实施年度工作计划;

  (二)协调各分支机构、代表机构、实体机构开展工作;

  (三)提名副秘书长以及各办事机构、分支机构、代表机构和实体机构主要负责人,交理事会决定;

(四)建议办事机构、代表机构、实体机构专职工作人员的聘任,交理事会决定;

(五)处理其他日常事务。

第五章 资产管理、使用原则

  第二十七条 本会经费来源:

  (一)会费;

  (二)捐赠;

  (三)政府资助;

  (四)在核准的业务范围内开展活动和服务获取的收入;

  (五)利息;

  (六)其他合法收入。

  第二十八条 本会按照登记地国有关规定收取会员会费。

  第二十九条 本会经费必须用于本章程规定的业务范围和事业的发展,不得在会员中分配。

  第三十条 本会建立严格的财务管理制度,保证会计资料合法、真实、准确、完整。

  第三十一条 本会配备具有专业资格的会计人员。会计不得兼任出纳。会计人员必须进行会计核算,实行会计监督。会计人员调动工作或离职时,必须与接管人员办清交接手续。

  第三十二条 本会的资产管理必须执行登记地国规定的财务管理制度,接受会员大会和财政部门的监督。资产来源属于国家拨款或者社会捐赠、资助的,必须接受审计监督,并将有关情况以适当方式向社会公布。

  第三十三条 本会换届或更换法定代表人之前必须接受财务审计。

  第三十四条 本会的资产,任何单位、个人不得侵占、私分和挪用。

  第三十五条 本会专职工作人员的工资和保险、福利待遇,按照登记地国有关规定并参照相关国际通行规则执行。

第六章 章程的修改程序

  第三十六条 对本会章程的修改,须经理事会表决通过后报会员大会审议。

第三十七条 本会修改的章程,须在会员大会审议通过后15日内,报经业务主管单位审查同意,并报登记管理机关核准后生效。

第七章 终止程序及终止后的财产处理

  第三十八条 本会自行解散或由于分立、合并等原因需要注销的,由理事会提出终止动议。

  第三十九条 本会终止动议须经会员大会表决通过,并报业务主管单位审查同意。

  第四十条 本会终止前,须在业务主管单位及有关机关指导下成立清算组织,清理债权债务,处理善后事宜。清算期间,不得开展清算以外的活动。

  第四十一条 本会经登记管理机关办理注销登记手续后即为终止。

  第四十二条 本会终止后经清算的剩余财产,任何成员不得侵占和私分,须在业务主管单位和登记管理机关的共同监督下,按照登记地国有关规定,用于发展与本会宗旨相关的事业。

第八章 附则

  第四十三条 本章程经 2023  9 24 日第 1 次会员大会表决通过。

  第四十四条 本章程的解释权属本会的理事会。

第四十五条 本章程自登记管理机关核准之日起生效。

第四十六条 本章程以中文本为法定母本。

 

 

World Federation of Daoism Charter

Chapter I General Provisions

Article 1 This Federation is named the World Federation of Daoism (WFD).

Article 2 This Federation is an international, professional, non-profit Daoist organization formed by willing Daoist groups, Daoist temples, Daoism-related entities and well-known individuals who believe in Daoism or who are passionate about Daoist culture from various countries and regions. 

Article 3 The purposes of this Federation are to inherit and carry forward the excellent traditional culture of Daoism, to strengthen the unity and cooperation of Daoists around the world, to promote the modernization and internationalization of Daoism, and to promote the exchange and mutual learning of human civilizations, as well as world peace and development.

The Federation abides by the constitution, laws, regulations and national policies of the country where it is registered, abides by social morals, and consciously strengthens the construction of integrity and self-discipline.

Article 4 This Federation shall be given operational guidance from the National Religious Affairs Administration of P.R.C; and under the supervision of the Ministry of Civil Affairs of P.R.C, which is the administrative organ for registration.

Article 5 The headquarters of this Federation is located in Beijing, China.

 

Chapter II Business Scope

Article 6 Business scope of this Federation:

(1)Advocating members to abide by Daoist traditions and regulations, and promoting world Daoists to strengthen the building of belief, Daoist system and Daoism ethics;

(2) Holding international Daoism exchange activities and enhancing the unity and friendship of Daoists around the world and promoting the international spread of Daoism;

(3) Integrating worldwide educational resources and facilities of Daoism, organizing relevant educational and training activities, and training international Daoist talents;

  (4)  Accepting applications for identification of overseas Daoist clergy, organizing and coordinating the participation of overseas Daoist clergy in major religious activities such as Transmission of Precepts and Ordination;

(5)  Editing and releasing announcements of this Federation, publishing Daoism books, magazines and materials, and operating the online media platform of this Federation;

(6)  Practicing Daoist teachings and carrying out public benefit activities in line with Daoist tenets;

(7) Promoting exchanges and mutual learning with other religions and civilizations;

(8)  Carrying out other Daoist activities within the scope permitted by the laws where its members are distributed.

 

Chapter III Members

Article 7 Members of this Federation are composed of unit members and individual members.

Article 8 To apply for membership of the Federation, the following conditions must be met:

(1) Having the will to join the Federation;

(2) Adhering to the charter of the Federation;

(3) Have a certain degree of influence in the Daoist community.

Article 9 Procedures for a member to join this Federation:

(1) Submitting an application to join this Federation;

(2) Getting the approval of the Council through their discussion;

(3) Getting the membership card issued by the Council or any organization authorized by the Council.

Article 10 Rights and powers of the member:

(1) to elect, to stand for election and to vote within this Federation;

(2) to attend activities held by this Federation or to be authorized to attend activities on behalf of the Federation.

(3) to have the priority for the services provided by this Federation;

(4) to comment, advise and supervise the work of this Federation;

(5) to join in or to withdraw from this Federation of one’s own free will.

Article 11 Obligations of the member:

(1) to abide by of the charter of this Federation, and to execute the resolutions of this Federation;

(2) to safeguard the legitimate rights and interests of the Federation;

(3) to complete the work assigned by this Federation;

(4) to pay the membership fee as stipulated;

(5) to report situations to this Federation and to provide relevant information.

Article 12 A member shall, before withdrawing from this Federation, notify this Federation in writing and return its membership card. If a member has failed to pay the membership fee for two years, it shall be deemed to have withdrawn from this Federation on its own.

Article 13 A member who commits a serious violation of these provisions shall be removed by a vote of the Council.

 

Chapter IV Election and dismissal of Organizational Structure and Responsible Persons

Article 14 The Members’ Congress shall be the highest organ of this Federation and shall exercise the following powers and functions:

(1) to formulate and amend the Charter;

(2) to elect and recall any Council Member or Council Members of this Federation;

(3) to deliberate and approve the work and financial reports of the Council;

(4) to stipulate and revise the rates of membership fee;

(5) to terminate matters;

(6) to decide on other major issues.

Article 15 This Federation shall hold the Members’ Congress in case of the attendance of more than two thirds of its members and its resolutions shall take effect in case of approval from more than one half of the participating members.

Article 16 The Members’ Congress shall be held once three years.

Article 17 The Council shall be the executive body of the Members’ Congress and shall lead the work of this Federation during the intersessional period. The Council shall answer to the Congress, with a term of three years.

Article 18 The Council shall exercise the following powers and functions:

(1) to implement the resolutions of the Members’ Congress;

(2) to elect and remove the Chairman, Vice Chairman and the secretary general;

(3) to prepare for the Members’ Congress;

(4) to report to the Members’ Congress on the work and financial situation;

(5) to decide on the acceptance or the removal of members;

(6) to decide on the establishment, adjustment and cancellation of offices, branches, representative bodies and other entities;

(7) to decide on the appointment of the Deputy Secretary General and heads of various departments;

(8) to direct the work of the Federation;

(9) to develop internal management system;

(10)          to adopt the resolutions on other important matters.

Article 19 The Council shall convene in case of attendance of more than two thirds of its members and its resolutions shall take effect in case of approval from more than two thirds of the participating members.

Article 20 The Council shall convene once every year. In special conditions, the meeting may be held remotely.

Article 21 The Chairman, the Vice Chairman and Secretary-General of the Federation must have the following qualifications:

(1)    Have a considerable influence in the Daoist community;

(2)    The maximum age of the Chairman, the Vice Chairmanand secretary general shall not exceed 70 years old, and the secretary-general is a full-time position;

(3)    Healthy and able to perform routine work;

(4)    Not having received criminal punishment;

(5)    Have full capacity for civil behavior.

Article 22 If the Chairman, the Vice Chairmanand Secretary-General of the Association exceed the maximum age of office, they shall hold office only after being elected by the Council, reporting to the authorities in charge for examination and being approved by the administrative organ for registration.

Article 23 The Chairman, the Vice Chairman and Secretary General of the Federation shall be appointed for a term of three years and shall not be reappointed for more than two consecutive terms. If the term needs to be extended due to special circumstances, it shall be elected by more than two thirds of the members of Members’ Congress, reported tothe authorities in charge for examination and approved by the administrative organ for registration.

Article 24 The Chairman shall be the legal representative of this Federation.

Due to special circumstances, entrusted by the Chairman and agreed by the Council, reported tothe authorities in charge for examination and approved by the administrative organ for registration, the vice Chairman or the secretary general can be the legal representative.

The legal representative shall sign important documents on behalf of this Federation.

The legal representative of this Federation shall not be the legal representative of other organizations at the same time.

Article 25 The Chairman of this Federation shall exercise the following powers and functions:

(1) To convene and preside over the Council;

 (2) To examine the implementation of the resolutions of the Members’ Congress and the Council.

Article 26 The Secretary General of the Federation shall exercise the following powers and functions:

(1) To preside over the Federation in carrying out its daily work and organizing the implementation of the annual work plan;

(2) To coordinate the work of the branches, representative bodies and entities;

(3) To nominate the deputy secretary general and the heads of offices, branches, representative bodies and entities, and submit to the Council for decision;

(4) To recommend the appointment of full-time staff of offices, branches, representative bodies and entities, and submit to the Council for decision;

(5) To execute other daily affairs.

 

Chapter V Asset Use and Management Principles

Article 27 Source of funds of this Federation:

(1) Membership fees;

(2) Donations;

(3) Government funding;

(4) Income derived from activities and services within the authorized scope of operations;

 (5) Interest;

(6) Other legal income.

Article 28 This Federation collects membership fees in accordance with the relevant regulations of the country of registration.

Article 29 The funds of this Federation shall be used for the development within the business scope and of business as stipulated in the Charter, but shall not be distributed among members.

Article 30 This Federation shall establish a strict financial management and shall ensure that the accounting materials are true, legal, accurate and complete.

Article 31 This Federation must employ accounting personnel with professional qualifications. An accountant shall not act as a cashier. Accounting personnel must conduct accounting and carry out accounting supervision. Where an accountant transfers the job or leaves the office, he/she shall complete handover procedures in accordance with the regulations of the region where this Federation is registered.

        Article 32 This Federation’s asset management must implement the financial management system stipulated by the country of registration and accept the supervision of the Members’ Congress and the financial department. Where the source of assets belongs to state appropriations or social donations or subsidies, it must be subject to audit and the relevant information must be publicized in an appropriate manner.

Article 33 Prior to the general election or replacement of the legal representative of this Federation, this Federation must be subject to financial audit.

Article 34 The assets of this Federation shall not be embezzled, appropriated or misappropriated by any unit or individual.

Article 35 The salaries, insurance and welfare benefits of the full-time staff of this Federation shall be implemented in accordance with the relevant regulations of the country of registration and with reference to the relevant international rules.

 

Chapter VI Procedures for amendment

Article 36 Amendments to the Charter shall be subject to the approval of Council and be reported to the Members’ Congress for deliberation and approval.

Article 37 The Charter to be amended by this Federation shall be examined and approved by the authority in charge within 15 days of being passed at the Members’ Congress and shall come into effect if the Charter are reviewed and approved by the administrative organ for registration.

 

 

Chapter VII Termination Procedures and Disposal of Property upon Termination

Article 38 Where this Federation is cancelled due to automatic dissolution, separation or consolidation, the Council shall propose a motion for termination.

Article 39 The cancellation should be approved by the Members’ Congress through voting and reported to the authority in charge of for review and approval.

Article 40 Prior to the termination of this Federation, a liquidation organization shall be set up under the guidance of the authority in charge to clean up creditors’ rights and debts and deal with remaining matters. No activity other than liquidation shall be conducted during the period of liquidation.

Article 41 This Federation shall be deemed to have been terminated after the cancellation of registration has been done in the administrative organ for registration.

Article 42 The remaining property upon the termination of this Federation shall be used for the development of the undertakings in relation to the purposes of this Federation under the supervision of the authority in charge and administrative organ for registration  of this Federation, in accordance to the relevant regulations of the country of registration.

 

Chapter VIII Supplementary Provisions

Article 43 These Articles of Association shall be voted on and approved by the Members’ Congress on the date of _____ ____, _____.

Article 44 The interpretation of these provisions shall be vested in the Council of this Federation.

Article 45 The Charter shall come into effect on the date of approval by the administrative organ for registration.

Article 46 Chinese is deemed as legal version of the Charter.
